Darshan Infosys Pvt. Ltd. provides professional IT services, including but not limited to software development, web/mobile application engineering, cloud infrastructure, and technical consulting. Specific project deliverables and timelines will be governed by individual Service Level Agreements (SLAs) or Work Orders signed between the parties.

2. User Obligations & Representation

By using our services, you represent that:

  • You have the legal capacity to enter into a binding contract.

  • All information provided for business verification or project requirements is accurate and genuine.

  • You will not use our services for any fraudulent, illegal, or unauthorized activities.

3. Intellectual Property Rights (IPR)

  • Company Property: All proprietary tools, algorithms, and code developed by Darshan Infosys Pvt. Ltd. prior to or independent of a specific project remain the sole property of the Company.

  • Deliverables: Upon full payment of all fees, the ownership of specific final deliverables (as defined in a project agreement) shall be transferred to the Client, unless otherwise specified in writing.

4. Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary business information, trade secrets, or technical data shared during the course of the engagement. This obligation survives the termination of services.

5. Payment Terms

  • All service fees are subject to taxes as per the laws of Nepal (VAT No. 600787422).

  • Payments must be made according to the schedule defined in the invoice or contract.

  • Late payments may result in the temporary suspension of services or additional late fees.

6. Limitation of Liability

To the maximum extent permitted by law, Darshan Infosys Pvt. Ltd. shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of our services or third-party platform integrations (e.g., Meta, AWS, Ncell).

7. Termination

  • By Client: You may terminate a project by providing written notice, subject to payment for work completed up to the termination date.

  • By Company: We reserve the right to suspend or terminate access to services immediately if there is a breach of these Terms or non-payment of fees.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the Laws of Nepal. Any dispute arising out of or in connection with these Terms shall be settled through amicable negotiations, failing which it shall be referred to the courts of Kathmandu.
